GFH Financial Group announced that it has acquired an additional 21.8% stake in Global Banking Corporation. The deal gives GFH a majority stake of 50.4% in the Bahrain-based investment bank following Central Bank of Bahrain approval to acquire up to a 60% shareholding. Established in 2007, GB Corp targets high-net-worth individuals and institutional and government clients across the GCC countries. As of December 2019, GB Corp reported total assets of $125 million and assets under management of approximately $500 million.
Bahrain-based GFH Financial Group has hired Societe Generale and Standard Chartered to act as global coordinators and joint lead managers for the issuance of five-year dollar sukuk, The banks will market the bonds through a series of meetings starting on Jan. 15 in Asia, the United Arab Emirates and London. Emirates NBD Capital, KAMCO Investment, Mashreqbank, SHUAA Capital and Warba Bank will also serve as joint lead managers.
Islamic International Rating Agency (IIRA) has reaffirmed its 'BB/B' international scale ratings at GFH Financial Group (GFH), with a stable outlook. GFH's key business lines include investment banking, real estate development as well as the recently expanded treasury and proprietary investments and commercial banking undertaken through its 55.4% holding of Bahrain-based Khaleeji Commercial Bank. The group’s capital adequacy ratio reduced to 14.5% in Q3 2019, remains comfortably above the Central Bank of Bahrain minimum of 12.5%. The bank’s cost rationalisation measures among other strategies are expected to result in boosting of profitability over the coming periods.
GFH Financial Group, the Bahrain-based Islamic investment bank, plans to invest $200 million (Dh734m) in the privately-owned schools sector through its new investment platform, Britus Education. Developed and emerging markets have both seen a surge in private education during the last decade. Britus Education will invest in mid-market schools that can be improved through maximising student capacity, improving academic outcomes and optimising fee structures. According to a report published by Alpen Capital, the total number of students in GCC schools is set to grow at a compound annual rate of 2.3% per year to reach 14.5 million in 2022. Enrolment in private schools is expected to grow at a compound rate of 4.1% per year until 2022, much faster than the 1.3% growth anticipated for public schools.
GFH Financial Group has paid the entire amount of its $200 million sukuk, which was originally drawn in 2007. The facility has now been settled with a recent payment of an outstanding amount of $34 million. With this repayment, GFH said it frees up further assets pledged under the sukuk for potential disposal or exit. In 2008, GFH had financing liabilities in excess of $1 billion compared to $125 million today. According to Chairman Jassim Al Seddiqi, with its prudent approach to managing liabilities, strong cash generation and levels of liquidity, GFH continues to be better placed than ever to deliver value and further build its business lines.
Bahrain’s GFH Financial Group is considering a listing in Saudi Arabia. CEO Hisham al-Rayes said the Group was also keen to participate in Saudi Arabia’s privatisation programme in sectors such as education and healthcare. He added that GFH was looking at asset management and private equity sector as sectors to acquire. Al-Rayes also disclosed that GFH was in talks with an unnamed financial services company in the Gulf. GFH's acquisition of Dubai-based Shuaa Capital was postponed due to a failure to reach acquisition terms and a lack of initial regulatory approval.
Bahrain's GFH Financial Group may merge with Dubai-based Shuaa Capital, GFH said in a statement. A web of ties between GFH and Shuaa began forming last year. In May, Abu Dhabi Financial Group (ADFG) and GFH said they were jointly setting up an Islamic bank called ADCorp with initial capital of $100 million. In November, ADFG bought a 48.36% stake in Shuaa, which has a market capitalisation of about $535 million. In December, Shuaa bought 14% of Bahrain's Khaleeji Commercial Bank for $25 million. GFH owns 47% of Khaleeji. On Sunday, Shuaa said it would acquire Integrated Capital and Integrated Securities, both controlled by ADFG. Integrated Capital owns 11.74% of GFH. ADFG officials did not respond to requests for comment about the possible merger.
GFH Financial Group (GFH) has signed a final Sukuk restructuring agreement with Gulf Holding Company (GHC) and Al Rajhi Bank. The agreement allows for the rescheduling of the Villamar project’s finances and officially marks the re-launch of the project located in the Bahrain Financial Harbour. Villamar @ The Harbour is one of the flagship projects of GHC and is valued at $700 million, being a residential complex spread over 35,900 square meters. As per the agreement, GFH will participate in financing completion of the project with an amount up to $50 million. The restructuring will have a positive impact on GFH’s shareholding in Gulf Holding Company.
The newly formed Islamic investment bank ADCorp has named Talal Al Zain as its chief executive. Its two main shareholders, Abu Dhabi Financial Group (ADFG) and GFH Financial, said the new company has an authorised capital of US$100 million and will be the first Sharia-compliant institution in Abu Dhabi Global Market. Mr Al Zain, formerly chief executive of PineBridge Investments Middle East, said that ADCorp would focus on corporate finance, wealth and asset management for institutions and ultra high net worth clients. He said that geographically the firm’s investment strategy will allow ADCorp to become the long-term business partner of choice for clients in the region.
Fitch Ratings has affirmed GFH Financial Group’s (GFH) Short-term Issuer Default Rating (IDR) at "B" and revised its outlook upward from stable to Positive with a Long-term IDR at "B-". The positive outlook reflects the steps GFH’s management have taken to strengthen its balance sheet by paying down debt, reshaping the business model with focus on income-generating investments, and consequent improvement of profitability. GFH said it believes that this upward revision of the outlook is the result of its new strategy and in developing new recurring steams of income through income yielding investments.
Bahrain-based Islamic investment bank GFH Financial Group (GFH) has signed a memorandum of understanding to buy a majority stake in Bank Al Khair. Founded in 2004, Bank Al Khair is an Islamic bank with total assets of $580.5 million as of March 2016. The deal is subject to approval by the boards of directors and shareholders of the banks, as well as completion of due diligence and regulatory approvals.
